TTM LABS CLIENT SERVICES AGREEMENT

1. SERVICES

TTMLabs will provide AI agent deployment, operation, maintenance and support services as described in your order. TTMLabs will use commercially reasonable efforts to maintain AI Agent availability. Scheduled maintenance and events outside TTMLabs' reasonable control are excluded from any availability commitment.

2. FEES AND PAYMENT

Services are billed on a credit-based model at A$12.00 per million tokens. You pre-load a credit balance which is drawn down as the AI Agent processes requests. Credits are non-refundable except where required by the Australian Consumer Law.

3. INTELLECTUAL PROPERTY

All intellectual property in the Ironframe Platform, AI Agent infrastructure, model weights, runtime architecture, and all improvements remain the exclusive property of TTMLabs. You retain ownership of your data and the Output generated by the AI Agent for your internal business use. You must not decompile, reverse engineer, or attempt to replicate any component of the platform.

4. CONFIDENTIALITY

Each party will keep the other's confidential information strictly confidential and only use it to perform or receive services under this agreement. The architecture and specifications of the Ironframe Platform are TTMLabs' confidential information. Confidentiality obligations survive termination for three years.

5. DATA AND PRIVACY

Both parties will comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. You are responsible for ensuring you have a lawful basis for providing personal information to TTMLabs. The AI Agent relies on third-party AI model APIs (including Google Gemini) . Client Data processed by those APIs is subject to the relevant provider's terms. TTMLabs recommends avoiding submission of sensitive personal information unless strictly necessary.

6. LIMITATION OF LIABILITY

TTMLabs' total liability is limited to fees paid in the three months before the relevant claim. Neither party is liable for indirect, consequential, or economic loss. AI-generated Output may contain errors . you are responsible for verifying Output before acting on it. Nothing in this agreement excludes rights under the Australian Consumer Law that cannot be excluded by law.

7. TERM AND TERMINATION

Either party may terminate on 30 days' written notice. Immediate termination applies on material uncured breach or insolvency. TTMLabs may suspend services if your credit balance reaches zero or in cases of misuse.

8. GENERAL

This agreement is governed by the laws of Western Australia, Australia. Full agreement terms are available at ttmlabs.ai/legal/csa. By signing below you confirm you have read, understood, and agree to the full terms.

A complete brief takes about 20 minutes. Don't rush it. If you skipped or skimmed Step 2, go back and fill it in properly . it will save you weeks of correction later.
